fa شناسایی و ارزیابی چالش ها و موانع فرآیند ادغام و تملیک شرکت ها در ایران و ارائه استراتژی‌های موثر در موفقیت آن تخصصي Special پژوهشي Research <span dir="RTL">هدف از این پژوهش، شناسایی و ارزیابی چالش&rlm;های فرآیند ادغام و تملیک و استراتژی&rlm;های موثر در پیاده سازی این فرآیند در شرکت&rlm;های داخلی است. محیط پژوهش حاضر، مدیران و کارشناسان مالی موسسات و شرکت&rlm;های ادغام شده در ایران می باشند. پژوهش حاضر از لحاظ هدف، بنیادی و از لحاظ نوع، توصیفی </span><span dir="RTL">&ndash;</span><span dir="RTL"> اکتشافی می باشد. جهت تحلیل داده&rlm;های کیفی حاصل از مصاحبه ها از تکنیک تجزیه و تحلیل تم استفاده شده است. با توجه به نتایج حاصل از تکنیک تجزیه و تحلیل تم، موانع فرآیند ادغام و تملیک، شامل چالش&rlm;های مدیریتی، فرهنگی، سازمانی، استراتژیک و حقوقی و قانونی می باشند. استراتژی&rlm;های پیاده سازی ادغام و تملیک نیز در سه مرحله راهبردهای قبل از ادغام و تملیک، راهبردهای حین ادغام و تملیک و راهبردهای پس از ادغام و تملیک شناسایی شده&rlm;اند. همچنین، پیامدها و نتایج پیاده سازی استراتژی ها و راهبردهای ادغام و تملیک در شرکت&rlm;ها، شامل مواردی از قبیل کارآمدی مالی، کارآمدی استراتژیک، تسهیل فرآیند معاملاتی و کارآمدی سازمانی می باشند. علاوه بر شناسایی چالش&rlm;ها و استراتژی&rlm;های موثر بر ادغام و تملیک شرکت ها، به ارزیابی کمی مدل ها و عوامل شناسایی شده نیز پرداخته شده است که بر اساس نتایج حاصل از تحلیل عاملی تاییدی و مدل معادلات ساختاری از طریق نرم افزار لیزرل، ابعاد و مقوله&rlm;های شناسایی شده، قابلیت سنجش و اندازه&rlm;گیری موانع و استراتژی&rlm;های موثر بر ادغام و تملیک شرکت&rlm;ها را دارند</span> The purpose of this study is to identify and assess the challenges of the merger and acquisition process and effective strategies for implementing this process in domestic companies. The present study environment is the directors and financial experts of the companies and companies integrated in Iran. The present research is objective, fundamental and in terms of type, descriptive-exploratory. To analyze the qualitative data obtained from the interviews, the theme analysis technique was used. According to the results of the theme analysis technique, the barriers of the merger and acquisition process include managerial, cultural, organizational, strategic, legal, and legal challenges. The strategies for implementing mergers and acquisitions are identified in three phases of pre-merger strategies, strategies for mergers and acquisitions, and strategies after mergers and acquisitions.
